Terms of Service

These Terms of Service ("Terms") are an agreement between you and [LEGAL ENTITY NAME], [REGISTERED ADDRESS] ("VantaxAI", "we", "us"), the operator of vantaxai.com and the VantaxAI service. By creating an account or purchasing a subscription, you agree to these Terms.

1. The service

VantaxAI is a web-based, subscription software service ("Service"): an AI assistant you interact with through a chat interface to draft and edit text, summarize material, and ask questions about documents you upload. The Service is software you use yourself. We do not provide consulting, custom development, marketing, design, or any other human-performed services.

2. Your account

  • You must be at least 18 years old to create an account.
  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • Information you provide when registering and purchasing must be accurate and kept up to date.
  • On Business plans, the workspace administrator controls membership and is responsible for the workspace's use of the Service.

3. Subscriptions & billing

  • All plans are monthly subscriptions billed in USD. Current plans and prices are listed on the pricing page.
  • Your subscription renews automatically each month on your billing date until you cancel.
  • Applicable sales tax or VAT is calculated and shown at checkout before you pay.
  • If we change a plan's price, we will notify you by email at least 30 days before the new price takes effect. The new price applies from your next renewal after the notice period; if you do not agree, you can cancel before then.
  • Access to your plan is activated immediately after successful payment.

4. Cancellation

You can cancel your subscription at any time, yourself, from your account's billing settings — no email, call, or explanation required. Cancellation takes effect at the end of your current billing period: you keep access until then, and you are not charged again. Refunds are governed by our Refund Policy.

5. Payments & merchant of record

Purchases of VantaxAI subscriptions are processed by our merchant of record — an authorized reseller named at checkout (Polar or Lemon Squeezy, depending on your purchase). The merchant of record is the seller of record for your transaction and handles payment processing, PCI-compliant card security, applicable taxes, invoices, and refunds, under its own buyer terms presented at checkout. We never receive or store your full card details.

6. Acceptable use

You agree not to use the Service to:

  • generate or distribute sexually explicit or pornographic content;
  • impersonate real people, or create deceptive content such as deepfakes or cloned voices;
  • infringe copyright, trademarks, or other intellectual-property rights of others;
  • produce content for spam, bulk unsolicited outreach, or deceptive marketing;
  • seek professional medical, legal, or financial advice to rely on without consulting a qualified professional;
  • violate any applicable law, or attempt to probe, disrupt, or gain unauthorized access to the Service.

We may suspend or terminate accounts that violate this section. Where reasonable, we will warn you first.

7. Your content & AI output

  • Your content stays yours. You retain all rights to the prompts, documents, and files you submit. You grant us only the limited license needed to operate the Service (process, store, and display your content back to you and your workspace).
  • Output is yours to use. Subject to these Terms and applicable law, we assign to you our rights in the output the Service generates for you.
  • AI output can be wrong. Generated content may be inaccurate, incomplete, or biased. Review output before relying on it or publishing it; you are responsible for how you use it.
  • You are responsible for having the rights to the content you upload.

8. Intellectual property

The Service, including its software, design, and branding, is owned by us or our licensors. Your subscription gives you a personal (or, for Business plans, organizational), non-exclusive, non-transferable right to use the Service while your subscription is active. You may not resell, sublicense, copy, or reverse-engineer the Service.

9. Disclaimers

The Service is provided "as is" and "as available". We work to keep it reliable, but we do not warrant that it will be uninterrupted, error-free, or that AI output will be accurate or fit for a particular purpose. Nothing in this section limits rights you have under mandatory consumer-protection law.

10. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, and neither party is liable for indirect, incidental, or consequential damages. These limits do not apply to liability that cannot be limited by law.

11. Changes to these terms

We may update these Terms as the Service evolves. For material changes we will notify you by email or in the app at least 14 days before they take effect. If you do not agree with a change, you can cancel your subscription before it takes effect. These Terms are governed by the laws of [GOVERNING LAW JURISDICTION].
